1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and RackReady LLC, an Arizona limited liability company ("RackReady," "we," "us," or "our"). These Terms govern your access to and use of the RackReady website, platform, course content, and all related services (collectively, the "Platform").
By creating an account, accessing the Platform, or purchasing any course or service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.
You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are accessing the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
RackReady provides web-based educational content designed to help individuals prepare for interviews and roles in data center critical infrastructure operations, including but not limited to Critical Facilities Technician (CFT), Engineering Operations Technician (EOT), Critical Environment Technician (CET), and Critical Facility Engineer (CFE) positions.
The Platform may include lesson content, interactive learning elements, practice questions, knowledge assessments, and related study tools. The specific features available to you depend on your access level (free or paid).
3. Accounts and Access
3.1 Account Registration
To access the Platform, you must create an account by providing accurate and complete information, including your name, email address, and a password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.2 One User, One Account
Each account is licensed to a single individual. You may not share your login credentials with any other person, allow others to access your account, or create multiple accounts for the same individual. RackReady reserves the right to monitor concurrent sessions and enforce single-user access. Accounts found to be shared or in violation of this section may be suspended or terminated without refund.
3.3 Account Security
You agree to notify RackReady immediately at support@rackready.io if you become aware of any unauthorized use of your account or any other breach of security. RackReady will not be liable for any loss arising from unauthorized use of your account where you have failed to maintain the security of your credentials.
4. Pricing, Payment, and Refunds
4.1 Free Content
Certain content on the Platform (currently Module 1: Data Center Fundamentals) is available at no cost to registered users. RackReady reserves the right to modify which content is available for free at any time.
4.2 Paid Access
Full access to the Platform, including all modules and features, is available for a one-time flat-rate payment. The current price is displayed on the Platform at the time of purchase. All payments are processed through Stripe, Inc., a third-party payment processor. By making a purchase, you also agree to Stripe's terms of service.
Prices are listed in U.S. dollars and are subject to change. Any price changes will not affect purchases already completed.
4.3 Refund Policy
You may request a full refund within seven (7) days of purchase by contacting support@rackready.io. After this period, all sales are final. Refunds are processed to the original payment method through Stripe.
4.4 Taxes
You are responsible for any applicable taxes associated with your purchase. RackReady will collect and remit sales tax where required by law.
5. Intellectual Property
5.1 Ownership
All content on the Platform — including but not limited to lesson text, practice questions, interactive elements, diagrams, illustrations, graphics, logos, trademarks, trade dress, software code, and the overall design and arrangement of the Platform — is the exclusive property of RackReady LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.
5.2 Limited License to Users
Upon creating an account (for free content) or completing a purchase (for paid content), RackReady grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform content for your personal, non-commercial educational use only. This license does not include the right to:
- Copy, reproduce, distribute, or republish any Platform content in
any form
- Modify, adapt, translate, or create derivative works based on
Platform content
- Use Platform content to develop, train, or improve any artificial
intelligence model, machine learning system, or automated tool
- Sell, license, sublicense, rent, or lease access to your account or
to Platform content
- Use Platform content for any commercial purpose, including creating
competing educational materials
- Scrape, crawl, or use any automated means to access or extract
Platform content
- Remove, alter, or obscure any copyright, trademark, or proprietary
notices
5.3 Enforcement
RackReady reserves the right to pursue all available legal remedies against any person or entity that infringes its intellectual property rights, including but not limited to injunctive relief and monetary damages.
6. Acceptable Use Policy
You agree not to use the Platform in any manner that:
- Violates any applicable local, state, national, or international law
or regulation
- Infringes on the intellectual property or other rights of RackReady
or any third party
- Attempts to gain unauthorized access to any portion of the Platform,
other accounts, or any systems or networks connected to the Platform
- Interferes with or disrupts the integrity or performance of the
Platform or its underlying infrastructure
- Transmits any viruses, malware, or other harmful or disruptive code
- Uses any automated system, bot, scraper, or similar tool to access
the Platform without express written permission
- Shares, resells, or redistributes account access or Platform content
- Misrepresents your identity or affiliation
- Engages in any activity that could damage, disable, overburden, or
impair the Platform
RackReady reserves the right to investigate and take appropriate action against any violations, including suspending or terminating your account and pursuing legal remedies.
7. Disclaimers
7.1 Educational Content Only
THE PLATFORM AND ALL CONTENT ARE PROVIDED FOR EDUCATIONAL AND INTERVIEW PREPARATION PURPOSES ONLY. RACKREADY DOES NOT GUARANTEE THAT USE OF THE PLATFORM WILL RESULT IN EMPLOYMENT, A JOB OFFER, OR SUCCESS IN ANY INTERVIEW OR HIRING PROCESS.
7.2 Not a Professional Certification or Qualification
COMPLETION OF ANY COURSE, MODULE, OR ASSESSMENT ON THE PLATFORM DOES NOT CONSTITUTE A PROFESSIONAL CERTIFICATION, LICENSE, QUALIFICATION, OR CREDENTIAL OF ANY KIND. THE PLATFORM IS NOT A SUBSTITUTE FOR ON-THE-JOB TRAINING, EMPLOYER-SPECIFIC QUALIFICATION PROGRAMS, OR ANY LEGALLY REQUIRED CERTIFICATION.
7.3 No Safety Qualification
THE PLATFORM COVERS TOPICS RELATED TO ELECTRICAL SYSTEMS, MECHANICAL SYSTEMS, GENERATOR OPERATIONS, FIRE PROTECTION, AND OTHER CRITICAL INFRASTRUCTURE SYSTEMS. THIS CONTENT IS FOR EDUCATIONAL AWARENESS ONLY. COMPLETION OF ANY PLATFORM CONTENT DOES NOT QUALIFY YOU TO PERFORM WORK ON, OPERATE, MAINTAIN, OR REPAIR ANY CRITICAL INFRASTRUCTURE EQUIPMENT. ALWAYS FOLLOW YOUR EMPLOYER'S SAFETY PROCEDURES, TRAINING REQUIREMENTS, AND APPLICABLE REGULATIONS.
7.4 "As-Is" Provision
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, OR NON-INFRINGEMENT. RACKREADY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RACKREADY LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your access to, use of, or inability to access or use the Platform
- Any conduct or content of any third party on the Platform
- Any content obtained from the Platform
- Unauthorized access, use, or alteration of your account or data
- Any employment decision, hiring outcome, or career consequence
- Any injury, damage, or loss resulting from the application of
knowledge gained through the Platform to real-world equipment or systems
IN ALL CASES, RACKREADY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO RACKREADY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FORTY-NINE DOLLARS (\$49.00), WHICHEVER IS LESS.
9. Indemnification
You agree to indemnify, defend, and hold harmless RackReady LLC, its members, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any applicable law or the rights of any third
party
- Any content you submit or transmit through the Platform
- Any misrepresentation regarding your qualifications, credentials, or
authority to perform work based on Platform content
10. Content Updates and Availability
RackReady reserves the right to update, modify, add to, or remove any Platform content at any time and for any reason, including but not limited to corrections, improvements, curriculum changes, and updates to reflect changes in industry standards, codes, or regulations.
While RackReady strives to maintain accurate and current content, we do not guarantee that all information on the Platform reflects the most current standards or practices at any given time. Users should always verify information against current employer procedures and applicable codes and regulations.
RackReady does not guarantee uninterrupted access to the Platform. We may suspend or discontinue any part of the Platform for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned downtime but are not obligated to do so.
11. Account Suspension and Termination
11.1 Termination by RackReady
RackReady may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent or abusive activity, account sharing, or conduct that RackReady reasonably believes is harmful to the Platform, other users, or RackReady's interests.
11.2 Termination by User
You may request account deletion at any time by contacting support@rackready.io. Upon deletion, your account data will be removed in accordance with our Privacy Policy. Account deletion does not entitle you to a refund of any payments previously made.
11.3 Effect of Termination
Upon termination, your license to access the Platform and all Platform content is immediately revoked. Sections 5 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 13 (Governing Law) shall survive termination.
12. Privacy
Your use of the Platform is also governed by our Privacy Policy, available at rackready.io/privacy. The Privacy Policy describes how we collect, use, store, and disclose your personal information, including information collected by our third-party payment processor (Stripe, Inc.) and any analytics or cookie services used on the Platform.
By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Maricopa County, Arizona. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. YOU AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND RACKREADY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.
14. Modifications to Terms
RackReady reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email at the address associated with your account and/or by posting a prominent notice on the Platform at least fourteen (14) days before the changes take effect.
Your continued use of the Platform after the effective date of any modified Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Platform and may request account deletion.
15. Third-Party Services
The Platform uses third-party services to operate, including but not limited to:
- Stripe, Inc. for payment processing
- Supabase for authentication and data storage
- Vercel for hosting and content delivery
Your use of the Platform may be subject to the terms and policies of these third-party providers. RackReady is not responsible for the practices or policies of any third-party service.
16. Electronic Communications
By creating an account, you consent to receive electronic communications from RackReady, including account confirmations, purchase receipts, service updates, and changes to these Terms. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
17. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and RackReady regarding the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.
Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Waiver. The failure of RackReady to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer these Terms or your rights under them without RackReady's prior written consent. RackReady may assign these Terms without restriction.
Force Majeure. RackReady shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet or infrastructure outages, or third-party service failures.
Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
